OnlineProfiting.com Affiliate Program Agreement

This agreement describes the entire terms and conditions for participation in the OnlineProfiting.com Affiliate Program.

In this agreement, the term "Affiliate" refers to you (the applicant/affiliate). Wherever the agreement refers to "you" or "your", it means "the Affiliate"; "we" or "our" refers to OnlineProfiting.com.

OnlineProfiting.com reserves the right to amend this agreement as needed from time to time, and Affiliate agrees that any such amendment will apply to Affiliate. The continuation of Affiliate status or Affiliate's acceptance of income or bonuses shall constitute Affiliate's acceptance of any and all amendments.

1. YOU AGREE TO READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING OR PROMOTING THIS WEB SITE. Use of the Web Site signifies your unconditional agreement to the terms and conditions of this Agreement. If you do not agree to these terms and conditions of use, do not access or otherwise use this Web Site.

2. OnlineProfiting.com affiliate program is administered by Clickbank.com. You must be a Clickbank Affiliate in order to be credited for commissions earned through referral sales of this program. Please make sure that you have read and understood the policy, terms and conditions of the ClickBank affiliate program.

3. ClickBank will create a unique nickname for you when you submit a complete ClickBank Affiliate Enrollment Form. You do not need to have a website to be an affiliate; you may use your affiliate URL in email promotions to potential customers.

4. You will receive 60% of the revenue as a commission from orders placed through your unique Affiliate URL link, less the charges outlined by ClickBank in their agreement http://www.clickbank.com/paychecks.html.

5. For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product ordered. Commissions will only be paid on sales which are made through qualified Affiliate links. ClickBank will track all affiliate sales for you and email you every time you make a sale!

6. ClickBank will send a check for the applicable commissions within the framework of their policies http://www.clickbank.com/paychecks.html. If there are any order that generated a referral fee is returned by the customer, or if there are any returned checks or chargebacks, the amount will be deducted by ClickBank from the next payment due affiliate.

7. OnlineProfiting.com may gather, process and use information and materials received from you (e.g., name, physical address, e-mail address) or collected through your use of the Web Site for any lawful reason or purpose.

8. OnlineProfiting.com will be solely responsible for processing every order placed by a customer on the Affiliate Site. You are not authorized to sell any of these products from your site as a "reseller" and no "resale" rights are granted in ANY way on these products unless otherwise noted.

9. You agree not to misrepresent the program in any way. For example, you agree not to tell people they can make any specific amount of money per week or per month, etc. OnlineProfiting.com is the sole judge of what is considered as misrepresentative.

10. Affiliate agrees to assume sole responsibility for compliance with all applicable intellectual property laws and all other federal, state and international laws.

11. Affiliate will be directly responsible for all tax liabilities, including without limitation, liabilities to any agency with respect to any earnings or payments made as a result of affiliate's promotion of OnlineProfiting.com. Affiliate further agrees to indemnify and reimburse OnlineProfiting.com in the event of any claim for assessment by any foreign, United States federal, state, and/or local taxing authority.

12. Customers who purchase products and services through the Affiliate Program will be deemed to be customers of OnlineProfiting.com. All OnlineProfiting.com rules, policies, and operating procedures concerning customer orders and service will accordingly apply to those customers.

13. OnlineProfiting.com has the right to change the commission structure at any time without prior notice. We may change our policies and operating procedures at any time. Prices and availability of our products and services may vary from time to time. OnlineProfiting.com policies will always determine the price paid by the customer.

14. OnlineProfiting.com does NOT in any way represent that you'll make even a dime from this program. There is a possibility of loss of capital from promoting it. If you find a guaranteed way to make money with no risk and no investment, then wake up.

15. You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this agreement. You won't hold Ann Liu and/or OnlineProfiting.com liable for any lawsuits.

16. We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under to this Agreement.

17. We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate links will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

18. You agree not to engage in any fraudulent practices in order to increase your payouts. Doing so forfeits all commissions due. Causes for termination as a affiliate can include but are not limited to fraud, suspected fraud involving your affiliater id, spam complaints attributed to your affiliate ID, and claims or representations that are innacurate, invalid or fraudulent.

19. You agree not to send unsolicited offers or spam our offer to anyone for any reason and doing so forfeits all commissions due. This applies to newsgroup spamming also and most specifically to FFA sites. It is against the terms to promote our products to anyone signing up for your FFA site or by purchasing any type of SAFE LIST.

20. OnlineProfiting.com does not condone the use of UCE (Unsolicited Commercial Email), UBE (Unsolicited Bulk Email), or "Spam." We are in no way participates in mass unsolicited emailing (i.e. spamming), spyware or adware, and all Affiliates are expected to adhere to this policy. Violation of this policy will result in the termination of this contract and immediate dismissal from the OnlineProfiting.com Affiliate Program, and their commissions will be forfeited.

21. Should any provision, section or part of this agreement be ruled illegal, not-enforcable or invalid, it will not invalidate the rest of the agreeement. All other terms and provisions will remain valid, enforceable and in tact.

22. By signing up with ClickBank and promoting our product as an affiliate, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.

The Terms are the entire agreement between you and OnlineProfiting.com and supersede all prior or contemporaneous agreements and understandings between you and OnlineProfiting.com with respect to the subject matter hereof.

By promoting or signing up for the program, you agree to these terms and conditions.
